GOLDENCREST METALS AFFILIATE PROGRAM AGREEMENT

Version: October 8, 2026.

This Affiliate Program Agreement (the "Agreement") is between GoldenCrest Metals LLC, 24151 Ventura Blvd, Suite 220, Calabasas, CA 91302 ("GoldenCrest," "we," "us") and the person or company applying to the GoldenCrest Metals Affiliate Program (the "Affiliate," "you"). By checking the box and submitting the partner application, you agree to this Agreement.

1. THE PROGRAM
1.1 GoldenCrest runs its affiliate program through the Everflow platform (the "Platform"). Once approved, you receive tracking links, offers and approved creative through your Platform account.
1.2 Applying does not guarantee acceptance. We may approve or decline any application at our sole discretion and may ask for more information about you, your audience and your traffic.
1.3 This Agreement is non-exclusive. You may promote other companies, and we may work with other affiliates.

2. COMMISSIONS
2.1 You earn the commissions shown for each offer in your Platform account (the "Offer Terms"). On our standard CPQL + Revshare offers, the Offer Terms are currently:
• $200 for each Qualified Lead;
• 8% of the purchase amount of premium metals products; and
• 1% of the purchase amount of bullion products,
in each case for customers who come through your tracking link.
2.2 A "Qualified Lead" is a lead that meets the qualification criteria in the Offer Terms for that offer. GoldenCrest determines whether a lead qualifies, using its own records.
2.3 Revenue share is calculated on funded and completed purchases only. No commission is owed on purchases that are cancelled, refunded, reversed, not funded, or charged back. Commissions already paid on these may be deducted from future payments.
2.4 Attribution is based on the Platform's tracking. If tracking fails because of your setup, or a sale cannot be tied to your link, no commission is owed.
2.5 We may change Offer Terms, payouts or offers with notice through the Platform or by email. Changes apply only to leads and sales generated after the change takes effect. Custom terms agreed in writing for a specific affiliate override the standard terms.

3. PAYMENT
3.1 Commissions are paid net 30 days after the related deal is officially funded, by the payment method in your Platform account. No commission is payable on a deal that does not fund.
3.2 You must provide a completed IRS Form W-9 (or W-8 if outside the U.S.) and accurate payment details before any payment is made. You are responsible for your own taxes.
3.3 The minimum payout is $1,000 in earned commissions. Balances below $1,000 roll over until the minimum is reached.

4. APPROVAL AND COMPLIANCE RULES
4.1 Approval required. All copy, claims and creative (blogs, headlines, banners, emails, subject lines, scripts, landing pages, social posts, videos and anything else) must be approved in writing by GoldenCrest before it goes live. Any change to approved material must be approved again.
4.2 You must follow the GoldenCrest Affiliate Guide (https://goldencrestmetals.com/wp-content/uploads/2026/10/GoldenCrest-Metals_Affiliate-Guide.pdf), as updated from time to time, including its approved offer language, do's and don'ts and brand standards.
4.3 Endorsers. Any content that mentions or depicts an endorser of GoldenCrest (including Ben Shapiro, Dr. Laura Schlessinger and AJ Gentile) requires written approval from GoldenCrest and that endorser before it is published. Use only endorser images supplied by GoldenCrest. AI-generated, edited or composited images of any endorser are never allowed.
4.4 You may not:
• promise returns, guarantee prices, predict the market, or give tax, legal or investment advice;
• use discount or false-urgency language ("sale," "deal," "cheap," "limited time," countdowns);
• make claims about storage, fees, minimums, promotions or reviews other than the approved language;
• create or use invented quotes from GoldenCrest, its CEO or any endorser;
• imply that GoldenCrest endorses you, or that you are GoldenCrest;
• use incentivized, misleading, fraudulent, bot or auto-generated traffic, cookie stuffing, or fake leads;
• bid on, or use in paid search, the GoldenCrest name, its endorsers' names, or confusingly similar terms, unless approved in writing; or
• register domains, social accounts or app names that contain "GoldenCrest" or a confusingly similar name.
4.5 Laws. You must follow all applicable laws, including the FTC Act and FTC Endorsement Guides (clear disclosure of your paid relationship with GoldenCrest), CAN-SPAM, the Telephone Consumer Protection Act and state telemarketing and texting laws, and all privacy laws. Email, SMS and calls must have proper prior consent, and you must honor opt-outs. If you collect leads, you must keep proof of consent (for example TrustedForm or Jornaya certificates) and provide it on request.
4.6 GoldenCrest may review your placements at any time and ask you to remove or change content. You must comply within 24 hours.

5. LEADS AND CUSTOMER DATA
5.1 Leads and customer information you send to GoldenCrest belong to GoldenCrest once delivered. You may not resell, share or re-market leads sent to GoldenCrest to any other precious metals company.
5.2 You will keep confidential any customer data, non-public offer terms, pricing and Platform reports, and use them only to perform under this Agreement.

6. BRAND USE
6.1 We grant you a limited, revocable, non-exclusive license to use the GoldenCrest name, logo and approved creative only to promote GoldenCrest under this Agreement and only as approved. All rights not granted remain with GoldenCrest. The license ends when this Agreement ends.

7. FRAUD AND FORFEITURE
7.1 If we reasonably believe that leads, clicks or sales came from fraud, prohibited traffic, or a breach of this Agreement, we may withhold or reverse the related commissions and suspend or terminate your account.

8. TERM AND TERMINATION
8.1 Either party may end this Agreement at any time, for any reason, with notice by email or through the Platform. We may end it immediately for a breach.
8.2 After termination you must stop using GoldenCrest links, marks and creative. Commissions properly earned before termination will be paid on the normal schedule, unless they are withheld under Section 7.

9. INDEPENDENT CONTRACTOR
9.1 You are an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture or agency relationship. You may not make commitments on GoldenCrest's behalf.

10. INDEMNITY AND LIABILITY
10.1 You will indemnify and hold harmless GoldenCrest, its owners, employees and endorsers from any claims, fines, losses and costs (including attorneys' fees) arising from your content, your traffic, your breach of this Agreement, or your violation of any law.
10.2 GoldenCrest is not liable for indirect, incidental or consequential damages, or for lost profits. GoldenCrest's total liability under this Agreement is limited to the commissions paid or owed to you in the three months before the claim.
10.3 The Program and the Platform are provided "as is." We do not guarantee that tracking or the Platform will be uninterrupted or error-free.

11. GENERAL
11.1 This Agreement is governed by the laws of the State of California, without regard to conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Los Angeles County, California.
11.2 We may update this Agreement by posting the new version in the Platform or emailing you. Continuing to promote GoldenCrest after an update means you accept it.
11.3 This Agreement, the Offer Terms, the Affiliate Guide and any written custom terms are the entire agreement between us about the Program. If any part is unenforceable, the rest stays in effect.
